Agreement to these terms
These Terms of Service (“Terms”) are a binding agreement between you and MD Software Limited (“MD GaragePro”, “we”, “us”) governing your access to and use of the MD GaragePro platform, websites and related services (the “Services”). By creating an account, starting a trial, or using the Services, you agree to these Terms. If you are agreeing on behalf of a business, you represent that you are authorised to bind it.
The Services & your licence
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during your subscription. The Services are provided on a software-as-a-service basis; we may improve, change or add features over time.
Accounts & security
You must provide accurate registration details, keep your credentials confidential, and are responsible for all activity under your account. Notify us promptly of any unauthorised use. You are responsible for your staff and any users you invite to your workspace, and for ensuring they comply with these Terms.
Acceptable use
You agree not to:
- use the Services unlawfully or to store or transmit unlawful, infringing or harmful content;
- attempt to gain unauthorised access to the Services, other accounts, or our systems;
- interfere with or disrupt the integrity or performance of the Services;
- reverse engineer, copy or resell the Services except as permitted by law; or
- use the Services to send spam or to process data you have no right to process.
Your data & ownership
As between you and us, you own the data you enter into the platform (“Customer Data”), including your own customers’ records. You grant us the rights needed to host and process Customer Data to provide the Services. We process it in line with our Privacy Policy and act as your processor for the customer data you control. You are responsible for the accuracy of Customer Data and for having the right to provide it to us.
Trial, fees & billing
We offer a free trial as described at sign-up; no card is required to start. Paid plans are billed in advance on the cycle presented to you and are non-refundable except where required by law. Fees exclude taxes (such as VAT), which you are responsible for. We may change pricing on renewal with reasonable notice. Failure to pay may result in suspension of the Services.
Third-party services
The Services may integrate with third-party services (for example, payment, email or AI providers). Your use of those services is governed by their own terms, and we are not responsible for them. Enabling an integration authorises the associated data exchange needed to provide it.
Intellectual property
We and our licensors own all rights in the Services, including the software, design, and trademarks such as MD GaragePro™. These Terms grant you no rights in our intellectual property except the limited licence to use the Services. Feedback you provide may be used by us without obligation to you.
Confidentiality
Each party may access non-public information of the other. Each party agrees to protect the other’s confidential information with reasonable care and to use it only to perform under these Terms, except where disclosure is required by law.
Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability and non-infringement, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted or error-free. You are responsible for maintaining your own records and exports of important data.
Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to us for the Services in the twelve months before the event giving rise to the claim.
Indemnification
You will indemnify and hold us harmless from claims, losses and expenses arising out of your Customer Data, your use of the Services in breach of these Terms, or your violation of law or the rights of a third party.
Term & termination
These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Services in a way that risks harm. On termination, your right to use the Services ends; we will make your Customer Data available for export for a limited period before deletion, unless a longer period is required by law.
Changes to the Services or Terms
We may update these Terms from time to time. When changes are material, we will update the “Last updated” date and, where appropriate, notify you. Your continued use of the Services after an update means you accept the revised Terms.
Governing law
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law rules, and the competent courts of the UAE will have jurisdiction over any dispute, unless mandatory local law provides otherwise.
